Written resolution

Calling a general meeting is often disproportionate. A written resolution can do the job — within limits.

The required majority is the same as at a meeting, but the process differs: the resolution must be circulated properly and there are rules on the period for agreement. Some decisions cannot be taken this way and require an actual meeting.

Check the governing document and the applicable company law before relying on it — a defective written resolution is as ineffective as a defective special resolution. See members and general meetings.
